1. Scope

1.1. These General Terms and Conditions apply to all services and software offered via nukipa.com and provided by Nukipa Labs GmbH.

1.2. They govern the contractual relationship between Nukipa Labs GmbH and all users of the Nukipa platform and its related products.

2. Services Offered

2.1. Nukipa provides AI-powered SaaS products for different verticals.

2.2. The exact scope, features, pricing, and limitations of each product are described on the respective product pages.

2.3. Nukipa may update, expand, or limit functionalities as part of continuous product improvement.

2.4. Third-Party Dependencies

2.4.1. Nukipa relies on third-party APIs (such as but not limited to OpenAI, Google, Meta) to deliver certain features.

2.4.2. Availability and functionality of these features depend on third-party service terms and uptime.

2.4.3. Nukipa is not liable for disruptions caused by third-party service changes or outages.

3. Use of AI

3.1. Nukipa uses AI to generate content, insights, and recommendations.

3.2. AI outputs must always be reviewed by qualified human users before being used or published.

3.3. Nukipa Labs GmbH assumes no liability for actions, decisions, or damages resulting from automated or AI-generated outputs.

4. User Responsibilities

4.1. Users agree to:

4.1.1. Provide accurate information when using Nukipa services

4.1.2. Ensure that uploaded or connected data does not violate third-party rights

4.1.3. Not use Nukipa products for illegal, harmful, or infringing activities

4.1.4. Take care of secure logins and API keys (no sharing of credentials)

5. Subscription, Fees & Withdrawal Rights

5.1. Subscription Model

5.1.1. All subscriptions renew automatically unless canceled before the renewal date.

5.1.2. Prices and plan specifications are displayed on nukipa.com and may change with prior notice.

5.1.3. Price Adjustments

5.1.3.1. Nukipa may adjust prices with at least 30 days' prior written notice.

5.1.3.2. Users have the right to cancel their subscription without penalty within 14 days of receiving notice of a price increase.

5.1.3.3. If users do not cancel, the new pricing applies from the next billing cycle.

5.1.4. For paid advertisements created within the software for the user with third party advertisers such as, but not limited to Google Ads, Nukipa charges a fee of 20% of the ad budget during the Ad creation process.

5.2. Right of Withdrawal

5.2.1. Consumers (not business customers) have a 14-day withdrawal right according to EU law.

5.2.2. Business customers waive the withdrawal right when starting the service immediately.

5.3. Refunds

5.3.1. Refunds follow the applicable withdrawal rules.

5.3.2. Partial refunds after active use of the service are excluded.

5.4. Cancellation

5.4.1. Users may cancel their subscription at any time via email or dashboard (if available).

5.4.2. Cancellation must be received at least 10 business days before the next billing cycle.

5.4.3. Upon cancellation, access to the service ends at the end of the paid period.

5.4.4. User data will be deleted 365 days after cancellation, unless legally required to retain.

6. Data Protection & Privacy

7. Intellectual Property

7.1. All software, models, content, and documentation provided and produced by Nukipa remain the intellectual property of Nukipa Labs GmbH.

7.2. User Content & AI Outputs

7.2.1. AI-generated content created by Nukipa based on user inputs is licensed to the user for commercial use under a non-exclusive license for the duration of the subscription.

7.2.2. Nukipa may use anonymized, aggregated data for product improvement but will not share identifiable user content with third parties.

7.3. Users are granted a non-exclusive, non-transferable right to use the software for the duration of the subscription.

8. Liability

8.1. Nukipa Labs GmbH is liable only for damages caused by intent or gross negligence.

8.2. Liability for minor negligence is excluded, except for injuries to life, body, or health.

8.3. No liability is assumed for:

8.3.1. Loss of profits or consequential damages

8.3.2. AI-generated content errors

8.3.3. Third-party integration issues

8.4. Liability Cap

8.5. Total liability for any claims arising from this agreement is limited to the amount paid by the user in the 12 months preceding the claim.

8.6. This cap does not apply to damages from intent, gross negligence, or injury to life, body, or health.

9. Service Availability

9.1. Nukipa strives for high uptime but does not guarantee uninterrupted availability.

9.2. Planned maintenance or external API outages may temporarily impact services.

9.3. Force Majeure

9.3.1. Nukipa is not liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, strikes, regulatory changes, or third-party service failures.

10. Governing Law & Jurisdiction

10.1. All legal relationships are governed exclusively by the laws of the Federal Republic of Germany.

10.2. Place of jurisdiction is Munich (München), Germany, if legally permissible.

11. Severability

If any provision becomes invalid, the remainder of the Terms shall remain unaffected.
